Tradevo Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of Tradevo, a software interface operated by Tradevo, LLC ("Tradevo," "we," "us," or "our"), a [STATE] limited liability company. By creating an account, connecting a wallet, or otherwise using Tradevo, you ("you" or "User") agree to be bound by these Terms.
If you do not agree to these Terms, do not use Tradevo.
2. What Tradevo Is (and Isn't)
Tradevo is a non-custodial software interface that lets you allocate cryptocurrency assets in your own self-custodial wallet to algorithmic trading strategies. Strategies execute trades on decentralized exchanges through scoped permissions you grant ("Session Keys") to a Tradevo-controlled signer.
Tradevo:
- Is a software interface, comparable to a website or mobile application
- Does not take custody of your funds at any time
- Does not hold or have access to your wallet's master private keys
- Is not a broker-dealer, money services business, money transmitter, exchange, custodian, or investment adviser
- Is not registered with the U.S. Securities and Exchange Commission ("SEC"), the U.S. Commodity Futures Trading Commission ("CFTC"), the Financial Industry Regulatory Authority ("FINRA"), or any state securities or money transmission regulator
Tradevo operates in reliance on the SEC Division of Trading and Markets staff statement of April 13, 2026 regarding Covered User Interface Providers ("CUIP Guidance"). Tradevo does not solicit specific crypto-asset transactions, exercise discretion over your trades beyond the parameters you set, or recommend particular crypto-asset securities.
3. Eligibility
To use Tradevo, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Not be a resident of, or located in, a jurisdiction where Tradevo's services are prohibited or restricted
- Not be subject to U.S. economic sanctions or be on any sanctions list (including OFAC's SDN list)
- Not be a citizen or resident of any country subject to comprehensive U.S. sanctions
Tradevo reserves the right to restrict access for users in particular jurisdictions at any time.
4. Account Registration
You may create a Tradevo account by:
- Email path: Signing up with an email address and authenticating via a passkey (biometric authentication). This creates an ERC-4337 smart contract account on the Base network, controlled by you.
- Wallet-connect path: Connecting an existing self-custodial wallet (such as Phantom or Solflare) on Solana or another supported wallet on Base.
You are responsible for:
- Maintaining the security of your authentication credentials
- All activity that occurs under your account
- Notifying Tradevo immediately of any unauthorized use
5. Self-Custody and Wallet Control
You retain exclusive control over your funds at all times.
- Tradevo never has access to your wallet's master private keys.
- For email-path accounts, your smart contract wallet is controlled by a passkey held on your device(s). Tradevo cannot move funds from your wallet without a valid signature from your authorized credentials.
- For wallet-connect accounts, your existing wallet retains full control. Tradevo only interacts with your wallet through standard wallet-connect protocols.
You may withdraw your funds to any address at any time. Tradevo cannot prevent, freeze, or reverse withdrawals.
6. Session Keys and Algorithmic Execution
To enable algorithmic strategies to execute trades automatically on your behalf, you may grant a "Session Key" — a scoped, time-limited delegation of signing authority to a Tradevo-controlled signer. Each Session Key is configured with:
- A maximum trade size (per transaction)
- A maximum allowable slippage
- An allowlist of tokens the signer may transact in
- An allowlist of execution venues the signer may route through
- An expiration date (default 30 days; maximum 90 days)
The Session Key cannot exercise any authority outside its configured scope. You may revoke any Session Key at any time, immediately and unconditionally. Revocation takes effect on the next blockchain confirmation.
By granting a Session Key, you authorize Tradevo to execute trades on your behalf strictly within the scope you specify. Tradevo will not exceed the scope.
7. Algorithmic Strategies
Tradevo offers two categories of strategies ("Algos"):
- Tradevo-built Algos (DCA, Index Basket, Buy-the-Dip, Risk Manager, Yield Wrapper, Copy Trade)
- Partner Algos developed by third parties and listed on the Tradevo marketplace
Algos are software, not investment advice. Each Algo executes a rule set you select and configure. Tradevo does not recommend any specific Algo, token, or trading outcome. The objective metrics displayed in the marketplace (return on investment, drawdown, win rate, etc.) are factual descriptions of past performance and are not predictions of future performance.
Past performance does not guarantee future results. Cryptocurrency markets are highly volatile. You may lose some or all of your assets.
8. Copy Trade and the Top Traders Leaderboard
The Copy Trade Algo allows you to mirror the on-chain trading activity of a wallet you select. Tradevo offers a "Top Traders" leaderboard featuring wallets that meet objective eligibility criteria (described in the Tradevo documentation).
Tradevo does not endorse, recommend, or guarantee the performance of any wallet on the leaderboard. Inclusion on the leaderboard is based solely on objective on-chain metrics. The traders behind these wallets are typically pseudonymous and unaffiliated with Tradevo. You are responsible for the outcomes of your decision to copy any wallet.
9. Marketplace, Subscriptions, and Fees
9.1 Fees
Tradevo charges:
- Marketplace fee: 25–30% of the subscription price paid to Partner Algo authors. Tradevo's share is disclosed at the point of subscription.
- Platform subscription (optional Pro tier): A flat monthly fee in USDC.
- Execution fee: A flat basis-point fee on each swap (e.g., 0.20–0.50%), disclosed before each transaction.
All fees are fixed, transparently disclosed, and applied uniformly regardless of token, venue, counterparty, or order routing. Tradevo does not receive payment for order flow, rebates from venues, or any compensation tied to specific tokens or routes.
9.2 Subscriptions
When you subscribe to a Partner Algo, you authorize a recurring USDC payment of the disclosed amount until you cancel. You may cancel at any time; cancellation prevents future charges but does not refund prior periods.
9.3 Author Payouts
If you are a Partner Algo author, Tradevo will remit your share of subscription revenue in USDC on a monthly basis, less the marketplace fee. Payment is sent to the wallet address you designate.
10. Risk Acknowledgment
By using Tradevo, you acknowledge and accept the risks disclosed in the Tradevo Risk Disclosure, including but not limited to: market risk, smart contract risk, MEV risk, liquidity risk, slippage risk, session key risk, copy-trade risk, regulatory risk, and the absence of FDIC, SIPC, or any government deposit insurance.
You acknowledge that your funds are not protected by any government insurance, custodial guarantee, or third-party reserve. Losses you incur are yours alone.
11. Prohibited Uses
You agree not to:
- Use Tradevo for any illegal purpose, including money laundering, terrorism financing, or sanctions evasion
- Attempt to interfere with, exploit, or reverse-engineer the Tradevo software
- Use Tradevo to facilitate market manipulation, wash trading, or other manipulative practices
- Use automated means (bots, scrapers) to interact with Tradevo other than through documented APIs
- Misrepresent your identity, age, or jurisdiction
- Use Tradevo on behalf of any sanctioned person or entity
Violation may result in immediate termination of your account.
12. Intellectual Property
Tradevo and all related software, branding, content, and documentation are owned by Tradevo, LLC and protected by intellectual property law. You receive a limited, non-exclusive, non-transferable, revocable license to use Tradevo as described in these Terms.
Partner Algo authors retain ownership of their submitted strategy logic and grant Tradevo a license to host, execute, and display their Algos as described in the separate Author Terms of Service.
13. Third-Party Services
Tradevo integrates with third-party services to deliver functionality:
- Coinbase Smart Wallet and Coinbase Onramp (Coinbase Technologies, Inc.) — wallet creation and fiat onramp
- Privy (Privy, Inc.) — embedded wallet fallback
- Clerk (Clerk, Inc.) — email authentication
- Helius (Helius Labs, Inc.) — Solana RPC and webhooks
- Alchemy (Alchemy Inc.) — Base RPC and webhooks
- Decentralized exchanges (Uniswap V4, Aerodrome, Jupiter, etc.) — trade execution
You acknowledge that these services are operated by independent third parties and subject to their own terms. Tradevo is not responsible for outages, errors, or losses caused by third-party services.
14. No Investment Advice; No Fiduciary Relationship
Tradevo does not provide investment advice. Nothing displayed on the Tradevo platform, including Algo descriptions, performance metrics, leaderboards, educational materials, or marketing communications, constitutes investment advice, a recommendation to buy or sell any asset, or an offer to provide investment advisory services.
You should consult independent financial, legal, and tax advisors before making any decisions about cryptocurrency or investments.
No fiduciary relationship is created between Tradevo and you by virtue of these Terms or your use of the platform.
15. Disclaimers
THE TRADEVO SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, security, or uninterrupted availability.
Tradevo does not warrant that any Algo will achieve any particular result, that any wallet you copy will continue to perform as historical metrics suggest, that any DEX will provide best execution, or that the platform will be free of bugs, vulnerabilities, or downtime.
16. Limitation of Liability
To the maximum extent permitted by law, Tradevo, LLC, its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising from or related to:
- Your use of or inability to use Tradevo
- Loss or theft of cryptocurrency assets
- Unauthorized access to your wallet or account
- Decisions made by Algos within the scope of your Session Keys
- Performance of any wallet you choose to copy
- Conduct of third-party Partner Algo authors
- Third-party service outages or failures
- Smart contract bugs or exploits affecting underlying protocols
- Regulatory actions, sanctions, or legal changes
In no event shall Tradevo's aggregate liability arising from these Terms or your use of the platform exceed the greater of: (a) the fees you paid to Tradevo in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow limitation of certain damages; in those jurisdictions, Tradevo's liability is limited to the maximum extent permitted.
17. Indemnification
You agree to indemnify and hold harmless Tradevo, LLC and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of Tradevo; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) your interaction with Partner Algos or wallets you choose to copy.
18. Termination
You may stop using Tradevo at any time. You can withdraw your funds from your self-custodial wallet to any address without Tradevo's permission.
Tradevo may suspend or terminate your access to the platform at any time, with or without notice, if Tradevo reasonably believes you have violated these Terms, are subject to sanctions, or are using the platform for prohibited purposes. Termination does not affect your control of your wallet or funds.
19. Dispute Resolution; Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
19.1 Informal Resolution
Before initiating arbitration, you agree to contact Tradevo at [legal@tradevo.co] and attempt to resolve the dispute informally for at least thirty (30) days.
19.2 Binding Arbitration
Any dispute arising out of or related to these Terms or your use of Tradevo that is not resolved informally shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in [STATE], United States. Arbitration is private and final. Judgment on the award may be entered in any court of competent jurisdiction.
19.3 Class Action Waiver
You waive your right to participate in class actions, class arbitrations, or representative proceedings. Arbitration shall be conducted only on an individual basis.
19.4 Exceptions
Either party may seek injunctive or equitable relief in court for intellectual-property disputes, and either party may bring a claim in small-claims court for qualifying disputes.
19.5 Governing Law
These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws principles.
20. Modifications
Tradevo may modify these Terms from time to time. Material changes will be communicated by email and posted on the Tradevo website with a revised "Last updated" date. Continued use of Tradevo after the effective date of any change constitutes acceptance of the revised Terms.
21. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, Risk Disclosure, and any other policies referenced herein, constitute the entire agreement between you and Tradevo.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver. Tradevo's failure to enforce any provision does not waive its right to do so later.
- Assignment. You may not assign these Terms. Tradevo may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Headings. Section headings are for convenience only and do not affect interpretation.
